Poland's biggest parcel locker company agrees to takeover

InPost, a Polish parcel locker company operating in Poland and several other countries, has reached an agreement with a consortium of companies planning to buy all its shares.

The acquiring consortium consists of private equity firm Advent International, US parcels delivery firm FedEx and current shareholders, including PPF, a Czech investment firm, and A&R, an investment vehicle of Rafal Brzoska, the founder and CEO of InPost, the Polish company said in a statement on Monday.

The current shareholders will be offered EUR 15.60 per share while the value of the entire portfolio is estimated at EUR 7.8 billion.

InPost is listed on the Euronext Amsterdam stock exchange. Before the first news about the acquisition broke in early January, the share price was just above EUR 10.

Following the transaction, Advent and FedEx are each to have a 37-percent share in the company, A&R will hold a 16-percent stake, and PPF - a 10-percent one.

"The InPost Group will retain its operational independence and current business profile," the Polish firm said. "The company's main operational headquarters and key management staff will remain in Poland, and the Consortium members will actively support the further development of InPost.

"The Consortium intends to announce a tender offer for InPost shares as soon as possible, in accordance with applicable regulations. The tender offer will be effective provided that the Offeror acquires at least 80 percent of all shares in InPost S.A. and obtains the necessary regulatory approvals, including those from antitrust authorities. The transaction is expected to be finalised in the second half of 2026," the company added.

Brzoska was quoted in the statement as saying: "Together, we will strengthen our network and reach more consumers by offering fast and flexible delivery options, while continuing to pursue our goal of redefining the European e-commerce sector. I remain fully committed to leading the InPost Group in the years to come."

In the third quarter of 2025, InPost handled 351.5 million parcels, 34 percent more compared to the same period of 2024. (PAP)
